Effective Date: 24th of June 2025
These Terms and Conditions (“Agreement”) govern the sale of aircraft parts (“Products”) by SuraaX GmbH, a Canton of Zurich, Switzerland company with a principal place of business at Cherstrasse 4, 8152 Glattbrugg, Switzerland (“Seller”), to the purchaser (“Buyer”).
By placing an order, Buyer agrees to be bound by these Terms and Conditions. Any additional or conflicting terms proposed by Buyer are rejected unless expressly accepted in writing by Seller.
All orders are subject to written acceptance by Seller. Seller reserves the right to refuse or cancel orders at any time prior to shipment.
All prices are exclusive of taxes, shipping, handling, and insurance unless otherwise specified. Payment is due Net 30 days from the invoice date. Late payments may incur interest at 1.5% per month.
Delivery dates are estimates only and are not guaranteed. Title and risk of loss pass to Buyer upon delivery to the carrier unless otherwise agreed in writing. Buyer is responsible for all costs of shipping and insurance.
Buyer shall inspect all Products within 10 business days of delivery. Any claims for damage, defect, or non-conformance must be submitted in writing within the inspection period. Failure to provide such notice constitutes full acceptance of the Products.
Unless otherwise expressly agreed to in writing by Seller, all Products are sold “AS IS” and “WITH ALL FAULTS.”
NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE PROVIDED.
For parts sold in “As Removed” (AR) condition, Seller expressly disclaims any and all warranties. Buyer acknowledges that AR parts are untested and may be unserviceable.
Any description of the condition of a Product (e.g., AR, OH, SV) is for informational purposes only and shall not be deemed a representation or warranty of merchantability or performance.
No Product may be returned without Seller’s prior written authorization. Authorized returns must be in original condition and packaging. Returns may be subject to a restocking fee of up to 10% and must be made within 30 days of delivery.
Buyer agrees to comply with all applicable export control laws and regulations, including but not limited to the U.S. Export Administration Regulations and ITAR, where applicable. Buyer is solely responsible for obtaining any export licenses or approvals.
In no event shall Seller be liable for indirect, incidental, special, consequential, or punitive damages. Seller’s liability, if any, shall be strictly limited to the amount paid by Buyer for the specific Product giving rise to the claim. Buyer assumes all risk associated with the installation, operation, and use of the Products.
Seller shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, labor disputes, supply shortages, transportation delays, or governmental restrictions.
This Agreement shall be governed by and construed in accordance with the laws of Switzerland, excluding its conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for any disputes arising out of or in connection with this Agreement shall be the Bezirksgericht Bülach, Switzerland.
These Terms and Conditions, along with any written quotation or order confirmation issued by Seller, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements, whether oral or written.
